This research work is a plan which is meant to focus on the Nigerian money and capital market as an instrument of corporate fund mobilization. Since the number of corporate bodies and other companies that engages their activities in investment or projects, have been on the geometrical increase.

CHAPTER ONE

1.0     INTRODUCTION

1.1     BACKGROUND OF THE STUDY

          Development does not occur in a vacuum.  A necessary condition for rapid economic development is effective mobilization and allocation of scarce resource within the economy of interest.  This is moreso in the developing economics of West African States where there is unequal distribution of income.  There are some people with viable project ideas and acumen without adequate financial resources, and other pockets of savers not hoping to invest even in the immediate future.  There can also be a co-existence of deficit and surplus institution in the same economy of interest.

          For the enhancement of the development process, it will be essential to establish effective tools for mobilization and allocation of financial resources.  Hence financial markets exist to assist in the transfer of funds from the “excess” units (savers) to the deficit units (investment decision-makers).  This definition is borne out of the reliance on money as a medium of exchange in the modern economy.  The implicit faith, which is accorded the market price in free-enterprise system as a means of allocating societal wealth efficiently.

          In the process of transferring funds from savers to users, securities of various types come into existence and become the main instrument (financial assets) that are traded on in such markets.  These securities evidence the transfer of funds and the entitlement to eventual repayment of capital and to the resulting periodic income in the interim.

          Also various institution traditionally play one role or the other in the fund transfer process.  These institutions include the stock exchange, issuing house, and stock brokers, share registrars share distribution agents, e.g. (commercial banks) underwriters and institutional investors (e.g merchant Banks Insurance Companies, Pension Funds etc) the Nigerian enterprise promotion board (NEFD) and the Nigerian securities and exchange commission (NSEC). Other institution includes the second-Tier securities market (SSM) and the financial market comprising the money and capital markets.

          Furthermore, of all these institutions, the extent to which the money and capital markets have mobilized corporate funds appears to this writer that Nigeria has reached a stage in her economic metamorphosis after thirty-six (36) years of political and Economic independence where it would be inexcusable ignorance, and an unpardonable economic myopia on the part of any government or business entity to adopt an unscientific approach to the financial and economic problem.  It is in this light, that a topic like financial market as instrument of corporate Fund Mobilization in Nigeria is of immense important in the development process of the country.   

1.2     STATEMENT OF THE PROBLEM  

       This research is aimed at conducting analysis of the role of the financial market in corporate funding, bearing in mind now the facilities could be fully mobilized in Nigeria.

          A myriad of problems beset the Nigeria financial market, some of which are amenable by action of the operators and regulatory bodies in Nigeria financial market.

          The pricing of securities invested in the primary market on the securities and Exchange Commission (SEC) and in the Secondary market on the stock Brokers on the exchange.

          There is shortage of securities for trading because the supply of securities for trading is lower than the demand for them because most of the securities are held partly by the Federal and state governments and foreign investors, while only a small proportion is held by very few Nigerians.  It takes too long a time for an investor to receive evidence of little for any securities purchased by him because of the cumber some nature of the delivery system in the capital market.

          The role of stock brooking to include stock jobbing has been eliminated by the stock exchange with the result that brokers can hardly buy securities for keeps into their portfolio.  This coupled with the shortage of securities.

          Finally many other problems abound and these include poor quality of brokerage service lack of research low brokerage commission neglect of brokers in the underwriting of issue and absence of speculation etc.

1.3     THE OBJECTIVE OF THE STUDY

 1.4    SIGNIFICANCE OF THE STUDY

            The information contained in this research project will not be of immense value to academic only but also to economic planners, investors in shares industrials etc.

TO ACADEMICS;       This research work will help to provide or stimulate through in carrying out further studies in this area of concern ie (Financial market) and it is expected that the study will be of help to INVESTORS and INDUSTRIALIST (both small, medium and large scale investors) to procure financial assistance since they now understand the roles and operational policies of the Nigerian financial market.

          It will also be of great value to the policy makers and develop viable policies that will be beneficial to the generally of the people.

  1. DEFINITION OF TERMS

In the course of this research work, certain terms are used which definitions are operational to the scope of the study.  It would then be pertinent to define than to make for easy understanding such terms include.

  1. LIQUIDITY:  The ability for an asset item to be easily converted into cash if not cash already.  It would be necessary to point out that cash is the most liquid of all assets.
  2. PROFITABILITY:       The ability of an asset to yield a return over above the invested capital.
  3. RISKS:-     The profitability of incurring a loss or the possibility of an unfavourable deviation from expectation.
